THESE TERMS OF USE INCLUDING THE PRIVACY POLICY (“TERMS”) PROVIDE AND CAPTURE IMPORTANT LEGAL INFORMATION ABOUT ACCESS OR USAGE OF THE PLATFORM (TERM DEFINED HEREUNDER) AND THE CONDITIONS OF YOUR USE OF THE PLATFORM OR PART THEREOF. BY DOWNLOADING, INSTALLING, ACCESSING, SIGNING UP AND USING OUR PLATFORM, YOU CONFIRM AND AGREE TO BE BOUND BY THESE TERMS.

IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU SHOULD NOT ACCESS, OR USE THE PLATFORM AND SHOULD DELETE ANY VERSIONS OF THE PLATFORM AND ANY DATA DOWNLOADED BY YOU WHILE USING SUCH PLATFORM.

IF YOU CONTINUE TO USE THIS PLATFORM, YOU ARE AGREEING TO BE BOUND BY THESE TERMS, WHICH ALONG WITH THE PRIVACY POLICY (“PRIVACY POLICY”) GOVERN YOUR RELATIONSHIP WITH US.

This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This document is also published in compliance with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. This electronic record is generated by a computer system and does not require any physical or digital signatures. These Terms are published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing the rules and regulations, Privacy Policy and Terms of Use for access or usage of the Platform owned by Hosa.

By accessing or using the Platform, you agree to comply with all applicable laws, rules, and regulations of your jurisdiction, including those relating to consumer protection, contract formation, personal data protection, and electronic transactions.

1. DEFINITIONS:
1.1. “App” shall mean the proprietary mobile application of Hosa and/ or an online platform that facilitates the buying of Goods (as defined below) to the genuine Customers (as defined below);
1.2. “Customer(s)” shall mean the Users who purchase the Goods from the Platform;
1.3. “Delivery Partner” shall mean the delivery agent providing services for delivery of Goods;
1.4. “Goods” shall have the meaning as ascribed to it in Section 2 hereto;
1.5. “Hosa”; “Us”; “We”; “Our” shall mean Hosa Life & Style LLP, having its LLPIN ACI-7328 and its registered office at B6, Plot no. 78 & 79, Satyakamal Colony, Talegaon station, Talegaon, Pune - 410507;
1.6. “Payment Options” shall mean the payment options made available on the Platform, from time to time;
1.7. “Platform” shall mean the Website and/ or the App;
1.8. “Services” shall mean and include the facilitation of online retail operations through the Platform, including but not limited to: (i) listing, promotion, and sale of Goods; (ii) enabling various Payment Options; (iii) processing of payments and refunds, as may be applicable; (iv) coordination with Delivery Partners for logistics and delivery;
(v) creation, maintenance, and management of the User Account; and (vi) any other ancillary services made available by Hosa from time to time through the Platform.
1.9. “User”; “You”; “Your” shall mean and include any natural or legal person who has transacted or agreed to transact through the Platform and/ or has accessed the Platform including users who install, download, access and/ or use the App, or access and/ or use the Website, including the Customers;
1.10. “User Account” shall mean the account, which the Users shall be required to create on the Platform to avail the Goods and Services; and
1.11. “Website” shall mean the domain name www.hosalifeandstyle.com.

2. Scope of the Platform
2.1 The Platform facilitates the buying of clothing, apparels and garments made of natural and sustainable plant based fibres and such other goods, as may be determined by Hosa, from time to time (“Goods”) enabling the Customers to view and place purchase orders through the Platform. Unless otherwise specified, the material on the Platform is presented solely for the purpose of sale in and from India.

2.2 Customers shall be able to browse and view Goods made available for sale on the Platform. Subject to availability, Customer can place the order for such Goods from the Platform, payments shall be made through the online Payment Options made available from time to time. Hosa also allows the Users to surf/browse the Platform and order Goods without registering on the Platform, however placing an order or accessing certain features may require the Customer to provide certain in accordance with these Terms.
2.3 The Platform shall generally display the Goods that will be provided and those that are not available at the time of order acceptance, along with the total amount payable for the selected Goods. While Hosa strives to ensure the accuracy and authenticity of product information, Users and Customers acknowledge that such information is provided based on reasonable efforts. The Users understand and acknowledge that their use of the Platform is at their own risk and Hosa shall not be liable for any consequences arising from such use. Further, Hosa does not make any representation or provide any warranties with respect to the Goods. Hosa shall not be liable or responsible for the activities or consequences of use or misuse of any information by any third party that occurs under your User Account.
2.4 Hosa is not responsible for the timeliness and quality of Goods supplied. Hosa shall be entitled to cancel the orders, in part or full, by intimation to the Customer.

3. Registration
3.1 You shall register or place order on the Platform only if You are a person who can form legally binding contracts under Indian Contract Act, 1872. If you are a minor i.e. under the age of 18 years, You may use the Platform or access content on the Platform only under the supervision and prior consent/ permission of a parent or legal guardian. If you are a legal entity, you may use the Platform only if you have necessary authorisation from such legal entity. 

By accessing or using the Platform, you represent and warrant that you have the legal capacity to enter into a binding contract under the laws applicable to you. You agree to comply with all applicable laws, rules, and regulations of your jurisdiction, including laws relating to data protection, intellectual property, and online conduct.

Under UAE law, pursuant to the UAE Civil Transactions Law (Federal Law No. 5 of 1985), full legal capacity to contract is attained at 21 years of age (Gregorian calendar).

You must not set up a User Account on behalf of another individual or entity unless you are authorized to do so.

3.2 You understand and acknowledge that Hosa is providing a Platform in the form of the Application and/or Website, on a non-exclusive basis, for buying and selling of Goods. Hosa reserves a right to terminate any registrations which are in contravention to the provisions of applicable law.


3.3 To avail the additional Services provided through this Platform, You may register on the Platform signup page. For such registration, You shall be required to provide your E-mail addressto authenticate by using a One Time Password (OTP) sent to Your email address and validate it (the “Account”), for availing the Services through the User Account. Through this User Account you will be eligible for receiving further updates, alerts and instructions related to your purchases on the Platform.


3.4 By registering for a User Account through the Platform or placing an order on the Platform, you represent and warrant that you are of the age of majority in the jurisdiction in which you reside. You agree to:
a) provide accurate, authenticated and true information about yourself;
b) maintain the security of your passwords and identification;
c) promptly update the email address and mobile number listed in connection with your User Account to keep it accurate so that we can contact you; and
d) be fully responsible for all actions through your User Account.


The User confirms that the information provided by the User on the Platform, is complete, accurate and upto-date and if Hosa has reasonable grounds to believe that such information provided by the User is untrue, inaccurate or incorrect, Hosa reserves the right to suspend or terminate the Services to such User. The User acknowledges that Hosa has not and will not independently verify the information provided by the User and that Hosa shall not be liable for authenticity, accuracy or completeness of any information provided by the User. Hosa may also request you for additional documents for verification.


The Users may choose not to provide Hosa with any information including personal information. The Users may note that if the User chooses not to provide certain information like Customer’s name, delivery address, details of the Customer, contact number, e-mail address, etc. to Hosa, Hosa in such circumstance may be unable to complete the transactions or deliver the Goods or Hosa may choose not to complete transactions initiated by the User on the Platform. Unauthorized Use; False Information: You shall: (i) notify us immediately of any unauthorized use of your User Account or any other known or suspected breach of security, (ii) use reasonable efforts to stop any unauthorized use of the Platform or your User Account that is known to you or suspected, and (iii) not provide false identity or information to gain access to or use the Platform.


3.5 No registration with the Platform deems to make you a member, shareholder, partner or affiliate of Hosa for any purposes whatsoever, nor shall you have any of the statutory of Hosa.


3.6 The User:
(i) confirms that all the information hereunder is wilfully shared by the User and Hosa and the Users may choose not to provide Hosa with any information;
(ii) agrees and understands that Hosa, at its sole discretion, reserves the right to temporarily or permanently discontinue its Services, for breach or non-compliance of the provisions of breach of the Terms by the Users or for breach or non-compliance the applicable laws or otherwise; and
(iii) agrees and understands that the information shared by the User through the Platform to Hosa will, on a needto-know basis, be accessible to the Delivery Partners and that the User agrees and understands that Hosa at all times shall be entitled to disclose the information pursuant to any law, guideline or regulation or to pursuant to request by any government authority.


3.7 Cross-Border Trade Compliance
For international transactions, all Users must comply with relevant Indian and foreign exchange regulations including the Foreign Exchange Management Act, RBI rules, and import/export control laws. The Platform is not responsible for any customs duties, taxes, or compliance obligations arising from cross-border sales or purchases.


4. User account security
4.1 You will be responsible for maintaining the confidentiality of your User Account and are fully responsible for all activities that occur under your User Account. You agree to immediately notify Hosa of any unauthorized use of your User Account or any other breach of security. Hosa cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.
4.2 You agree to use the Platform only: (i) for purposes that are intended and permitted by these Terms; and (ii) in accordance with any applicable law, regulation or generally accepted practices or guidelines. You agree not to engage in activities that may adversely affect the use of the Platform by other Users and/ or adversely affect
the interest of Hosa.
4.3 You agree not to access (or attempt to access) the Platform by any means other than through the interface that is provided by Hosa. You shall not use any deep-link, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform, or in any way reproduce or circumvent the navigational structure or presentation of the Platform, materials or any Hosa’s property, to obtain or attempt to obtain any materials, documents or information through any means not specifically made available through the Platform.
4.4 You acknowledge and agree that by accessing or using the Platform, you may be exposed to content from third parties that you may consider offensive, indecent or otherwise objectionable. Hosa disclaims all liabilities  arising in relation to such offensive content on the Platform.


5. Ordering the Goods
5.1 To order the Goods, you must first select Good(s) that is/are available on Platform, or from a history of your past orders or from your order basket. You may select the Goods and click on the “Add to Bag” button. In the shopping bag view, you can review your order before proceeding to the checkout. When you place your order by clicking the“Check Out” button, you are making a binding offer to purchase the items in the shopping bag. Depending on your selected Payment Option, further steps may be required to finalise your payment.
5.2 After you place an order, We will send you an automatic email confirmation that your order has been placed. Please note that a placed order is an offer and does not constitute a binding contract until the order has been approved by Us. If we approve your order, we will send you a shipping confirmation email that includes all relevant information about your order and its delivery. If we are unable to approve your order, we will let you know at the earliest opportunity after the automatic email confirmation has been sent.
5.3 Hosa shall, from time to time, communicate and appraise the Users with the information, relating to, refund, return, exchange, delivery and shipment, modes of payment, grievance redressal mechanism, payment methods, security of payment methods, and country of origin, as may be applicable, which may be standard for all the Users, Customers and Delivery Partners.
5.4 The Customer hereby agrees and understands that the delivery of the Goods will be through third party Delivery Partners and that they shall take reasonable measures and checks before interaction and engagement.

6. Listing of Goods
Unless required by the provisions of the applicable law, Hosa may not display all the details of the Goods which they have for sale online on the Platform. Such featured Goods and their current prices shall be updated from time to time by Hosa. Hosa shall not be held responsible or liable if the actual Goods do not match with images of the products that is/are displayed on the Platform. All information related to the Goods is provided on an “as is” and “as available” basis. Hosa shall not be liable for any inaccuracies or incompleteness in the same. You shall abide by the terms and conditions prescribed by the manufacturers for the use of the Goods and shall ensure that your use of the Goods is in accordance with such terms and conditions.

7. Pricing
7.1 Hosa ensures that all the prices of the Goods quoted on the Website are accurate, errors may occur. If we discover an error in the price of any product(s) You have ordered, we will inform You as soon as possible and give You the option of reconfirming the order at the correct price or cancelling it. Hosa may levy internet convenience fees or other fees / charges relating to delivery and other services and may also offer applicable discounts. These charges shall form a part of the total payment due amount provided to the Customer in the Platform. Changes to the Fee Policy shall be posted on the Platform and such changes shall automatically become effective immediately after they are posted on the Platform. The item-wise breakup of the total payment due will be provided by Hosa on the Platform or separately with the items at the time of delivery or pickup. All charges will be in the currency mentioned on the Platformand will be exclusive of the applicable Taxes.
7.2 You can elect to pay for the Goods to Hosa through various Payment Options, as may be available, after receiving the total payment amount in the Platform or at the time of pickup or delivery:
• Net Banking, IMPS and Debit & Credit Card;
• E-Wallets;
• By availing the credit facility provided by Hosa (subject to Hosa’s prior approval);
• Any other mode of payment as may be notified by Hosa.
All payments for international orders are and should be routed through Reserve Bank of India (RBI) approved
payment gateways, and are subject to foreign exchange norms as per Indian law.
7.3 The Platform may provide a link to third party payment applications such a “Razorpay” or such other similar service providers, which may be required to be installed on Your devices to facilitate online payment and record the payment transaction identification (if any) in the Platform for future reference by the Customer or Hosa.
7.4 Hosa shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the lack of authorization for any transaction, on account of a Customer having exceeded the credit limit with his/her bank or for any payment issue arising out of the transaction.
7.5 If Hosa terminates your account; or if the Customer closes the User Account, or if the payment of the Customer’s order cannot be completed for any reason, the Customer shall be obligated to pay Hosa for all unpaid amounts plus any penalties, as may be applicable.
7.6 Disclaimer: Pricing on any good(s) as is reflected on the Platform may due to some technical issue, typographical error or product information published may be incorrectly reflected and in such an event the Hosa may cancel such your order(s).
7.7 The Customer, understands that upon initiating a Transaction he/ she/ it is entering into a legally binding and enforceable contract with Hosa to purchase the Goods using the Payment Options, and Customer shall pay the purchase price through Customer’s Issuing Bank to Hosa using Payment Options.
7.8 Hosa reserves the right to refuse to process transactions or limit transactions basis prior history of the User or on the impose limits on the number of transactions or purchase price. In case of suspicious transactions, Hosa may at the instructions of law enforcement officials remit the amounts to law enforcement officials.
7.9 The Users acknowledge Hosa will not be liable for any damages, interests or claims etc. resulting from Delivery Partner not processing or causing delay in processing a transaction which is beyond control of the Hosa .
7.10 For transactions above or equal to value prescribed by law the Customer will be required to upload a scanned copy of his/her PAN card on the Platform, within 3 days of placing the order failing which, the purchase made by the Customer will be cancelled.


8. Delivery Details
 Before placing your order, you will be informed of the estimated delivery time following approval of your order. If we approve your order, you will receive a shipping confirmation email containing all relevant information about your order. For delivery, please allow us 10-15 business days. Hosa reserves the right of not delivering the order to you in case of force majeure events, political unrest or other unforeseen circumstances. In case a delivery is temporarily not possible for your location or pin code on account of factors mentioned hereinabove, then your order will not be placed on the Platform, and you will be notified of the same.

9. Order Cancellation
An order may be cancelled by the Customer within 4 hours from the time of placing of the order and will not attract any cancellation charges. Any attempts to cancel the order after 4 hours will not be permitted.
• In case the Customer does not accept delivery of Goods on ground that the amount charged by the transacting bank is more than order value, the Customer shall raise the issue with the transacting bank.  We encourage the Customer to review the listing and Terms before placing any orders for purchasing the Goods. In case the Customer orders a wrong Good, the Customer shall not be entitled to any return/refund.
Hosa may cancel part of the entire order initiated by You on the Platform if:
• Information, instructions and authorisations You provide is not complete or sufficient to execute the order;
• Item is not in stock with Hosa;
• The transaction cannot be completed for any reason not in control of Hosa
• You have not yet paid for the order prior to the time of delivery or pickup.
In the event after three delivery attempts if there is no response from the Customer or the address provided by the Customer is wrong or untraceable, the order shall be deemed to have been cancelled and shall attract cancellation charges comprising of delivery charges, Payment Gateway charges.

10. Return Policy
All the sales executed by Hosa are final. Once the Goods are sold and delivered, Hosa does not accept any returns, exchanges or refunds under any circumstances Customers are advised to review product details, specifications and sizing carefully before making a purchase. For any concerns regarding defective or damaged items which are approved by Hosa, you can opt for Replacement option as per clause 11 below.

11. Replacement
Definition: Replacement is the action or process of replacing something in place of another.vOn the instance where the Customer receives a faulty or defective Good, the Customer should write to connect@hosalifestyle.com within 24 hours from the date of delivery, clearly stating the defect and enclosing credible photo or video evidencing the defect in the Goods.

Hosa shall review the submitted evidence and at its sole discretion it will determine whether the claim is valid and reasonable. If the claim is approved, Hosa will issue 100% refund of the product (excluding shipping and other charges).


The Customer agrees and understands that-

1. Unless otherwise agreed to upon by Hosa in writing, this replacement policy is applicable only once.
2. Claims raised beyond the stipulated 24 hours from the time of delivery will not be entertained.
3. The issuance of the 100% refund of the product shall be in lieu of physical replacement of the product and it shall be considered as full and final settlement of the claim between the Parties.

The replacement request can be processed through the Platform and the Customer is required to provide the reason for claiming replacement prior to initiating the request to replace the Goods. The Customer needs to upload the photographs of the defective Good, along with details of the damage of the good, Hosa will verify all the claims with respect to the defect, if any. Hosa at its sole discretion will decide whether to “approve” or “reject” the return request. In case Hosa accepts the replacement request, Hosa will initiate the refund through above mentioned instruments.

Additional Terms for Return and Replacement
12.1 Following Goods shall not be eligible for return or replacement:
a. Goods damaged due to use or misuse;
b. Incidental damage due to improper handling or cleaning of Goods;
c. Goods which are used;
d. Any damages or defects which are not covered under the manufacturer's warranty for the Goods;
e. Any Good that is returned without all original packaging and accessories, including the box, manufacturer's packaging if any, and all other items originally included with the Good(s) delivered;
f. Goods of which original tags, box and packaging is not intact.
12.2 If Hosa has suspicion or knowledge, that any of the Customers and Users are involved in any activity that is intended to provide claims or information that is false, misleading or not genuine, then Hosa may while reserving its rights to initiate civil and/or criminal proceedings against User may also at its sole discretion suspend, block, restrict, cancel the Display Name of such Customer and User and /or disqualify that User and any related Users from availing protection through the return and replacement program. Hosa reserves its right to initiate civil and/or criminal proceedings against a User who, files an invalid and/or false claims or provides false, incomplete, or misleading information. In addition to the legal proceedings as aforesaid, Hosa may at its sole discretion suspend, block, restrict, cancel the User Account of such User and/or disqualify that User and any related Users from availing protection through this return and replacement program. Any person who, knowingly and with intent to injure, defraud or deceive, files a fraudulent complaint containing false, incomplete, or misleading information may be guilty of a criminal offence and will be prosecuted to the fullest extent of the law.
12.3 Payment for the Goods is made directly to Hosa. Therefore, the return and refund policy will be at the sole discretion of Hosa and shall be the final binding on the parties. .

12. Content Available
13.1 Hosa does not make any warranty or representations for the Goods provided on the Platform, except as expressly stated at the time of sale. All Goods are provided on an “as is” and “as available” basis. Hosa shall not be held liable under any circumstances including, but not limiting to: any infringement, errors, damages, fraud, misrepresentations, direct or indirect losses, Goods liability, claims or omission of information or details posted, or any link accessible or made available through this Platform. While Hosa endeavours to provide accurate and up-to-date product information, the Customer acknowledges and agrees to independently verify any specifications prior to purchase and accepts complete responsibility for the selection and the use of the Goods.
13.2 Hosa shall have the right to review and display the information, feedback, ratings, reviews etc. (“Feedback”) that is publicly viewable provided by the Users on the Platform. The User confirms that its Feedback will be in accordance with the provisions of the applicable law and that Hosa shall, at its sole discretion, have a right to remove any Feedback. In event the Users deletes any Feedback, the same may be viewable from achieved pages or in the data stored or copied by other Users. Hosa shall not be liable or responsible for any Feedback published by the User which is non-compliant with the provisions of the applicable laws.

13. Advertisements
The Platform may contain third party advertisements. The display of such advertisements does not in any way imply an endorsement or recommendation by Hosa of the relevant advertiser or the merchant, its Goods or Services. You are referred to the relevant advertiser or merchant for all information regarding the advertisement and its Goods and/or Services. Hosa accepts no responsibility for any interaction between you and the relevant third party and is released from any liability arising out of or in any way connected with such interaction.
14. Ownership of Intellectual Property
The Platform and all the rights including but not limited to intellectual property rights subsisting under or in relation to the Platform are owned by Hosa. Nothing contained in this section shall be deemed to grant you any rights to the intellectual property rights contained in the Platform. The User agrees that Hosa shall at its sole discretion, shall be entitled to change or cease using Hosa’s trademarks.

Hosa respects copyright, and we prohibit Users from submitting, uploading, posting, or otherwise transmitting any content or details through the Platform that violates another person’s or entity’s proprietary rights. All Goods and Services available on this Platform, including but not limited to audio, images, photographs, software, text, icons and such like (the “Platform Content”), are protected by copyright under the copyright
laws or any other relevant intellectual property laws. You cannot use the Platform Content, except as specified herein. Any copying, distribution, storing, framing or transmission of any kind or any sort of commercial use of the data transmitted through the Services are strictly prohibited without our express written consent. There may be proprietary logos, service marks and trademarks found on the Platform whether owned/used by us or otherwise. By displaying them on the Platform we are not granting you any license to utilize those proprietary logos, service marks, or trademarks. Any unauthorized use of the Platform Content may violate copyright laws, trademark laws, the laws of privacy and publicity, and civil and criminal statutes.

15. Confidentiality
Confidential information, for the purpose of these Terms, shall mean the information including but not limited to the features, functionalities, processes, data and information regarding the Platform, or other information of a confidential nature disclosed by Hosa to the other party under these Terms, in any form (“Confidential
Information”). Confidential Information shall however, exclude any information which (i) is/ was publicly known or comes into public domain; (ii) is received by the receiving party from a third party, without breach of these Terms; (iii) was already in the possession of receiving party, without confidentiality restrictions, at the time of disclosure by the disclosing party; (iv) is permitted for disclosure by the disclosing party in writing; (v) independently developed by the receiving party without use of Confidential Information; (vi) is required to be disclosed by the receiving party pursuant to any order or requirement from a court, administrative or governmental agency. You agree not to use any Confidential Information for any purpose except as stated in these Terms.
We will keep any personal information shared by you, confidential and only use it as per the terms of our

Privacy Policy.
16. Prohibited Conduct
17.1 Violating laws and rights:
The access to the Platform is limited and not sold to you, and we retain the sole ownership of the Goods and Services. We may assign these rights or any part of it without restrictions. You may not assign these rights or any part thereof, nor transfer or sub-let your rights hereunder, to any third party.
17.2 You agree that you will not:
(i) reverse-engineer, decompile, disassemble, modify or create derivative works based on the Platform or any part thereof;
(ii) reproduce, duplicate, copy, sell, resell, or exploit, any portion of the Platform, use of the Platform, or access to the Platform;
(iii) collect or store data about other people using the Platform;
(iv) take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Platform;
(v) use the Platform for any illegal purpose or in violation of any local, state, national, or international laws, or in any manner other than as expressly authorized in the Terms;
(vi) circumvent any technology used in the Platform; or
(vii) violate or encourage others to violate any right of or obligation to a third party, including but not limited to, by infringing, misappropriating, or violating intellectual property, confidentiality, or privacy rights;
(viii) publish, post, upload, distribute or disseminate any information that (a) belongs to another person and to which the user does not have any right to; (b) is harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, hateful, or racially, ethnically objectionable, disparaging, inappropriate, profane, infringing or otherwise unlawful in any manner whatever; (c) harms minors in anyway; (d) deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature; that threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

17.1.2 These Terms are not intended to grant rights to anyone except you, and in no event shall these Terms create any third party beneficiary rights. Any failure to enforce these Terms or any provision thereof shall not waive our right to do so. Use of the Platform and/ or Services beyond the scope of these Terms immediately terminates any permission or right granted herein.

17.2 Solicitation:
You may not use the Platform, or any information provided through the Platform for the transmission of advertising or promotional materials, including junk mail, spam, chain letters, pyramid schemes, or any other form of unsolicited or unwelcome solicitation.

17.3 Disruption:
You may not use the Platform in any manner that could disable, overburden, damage, or impair the Platform, or interfere with any other party’s use and enjoyment of the Platform; including by:
(a) uploading or otherwise disseminating any virus, adware, spyware, worm or other malicious code, or,
(b) interfering with or disrupting any network, equipment, or server connected to or used to provide the Platform, or violating any regulation, policy, or procedure of any network, equipment, or server.

17.4 Harming others:You may not share or transmit content or details that are harmful, offensive, obscene, abusive, invasive of privacy, defamatory, hateful or otherwise discriminatory, false or misleading, or incites an illegal act. In the event You are at the receiving end of any offensive content or are the victim of any such actions of any other User, You are encouraged to report such content or conduct to Hosa. Hosa shall delete such offensive content and take any other corrective action as it deems fit.
17.5 Impersonation or unauthorized access: You will not impersonate another person or entity, or misrepresent your affiliation with a person or entity when using the Platform. You will not use or attempt to use another’s User Account or personal information; and you will not attempt to gain unauthorized access to the Platform, through hacking, password mining or any other means.

17.6 Developing competing offerings:
You will not use the Platform to develop any competing apps, websites or products which are similar or substantially similar to the Platform. You understand and acknowledge that if You indulge in any of the prohibited conduct stated above, and it is brought to the notice of Hosa, Hosa may terminate your right to use the Platform and take any other corrective action as it deems fit.

18 Promotions and offers from Hosa
We may encourage Users to participate in certain promotions, discount offers, contests, social media events, memberships (“Promotions”) released by Hosa, from time to time. These Promotions would be at our own discretion. The Promotions may have its own terms and conditions, which will be in addition to these Terms. Promotions cannot be transferred or clubbed. We may request for additional information from the User if the User wishes to participate in these Promotions. Hosa may also promote Goods and display advertisements on the Platform.

19 Dealings With Third Party Organisations And Individuals
You agree and acknowledge that Hosa shall not be responsible or liable for any loss or damage of any sort incurred as the result of your dealings or interactions with third party organisations and other Users through the Platform. In the event that you have a dispute with one or more other third -party organisation or User(s), you hereby release Hosa, its partners, officers, employees, agents and successors from any and all claims,
demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the Platform.

20 Disclaimer of warranties
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE PLATFORM AND THE GOODS PROVIDED THROUGH IT IS ENTIRELY AT YOUR OWN RISK AND THAT THE PLATFORM AND THE INFORMATION THEREIN ARE PROVIDED ON AN "AS IS" OR "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT OF PROPRIETARY RIGHTS ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. HOSA MAKES NO WARRANTY THAT YOUR REQUIREMENTS WILL BE MET OR THAT ACCESS TO THE PLATFORM/ SERVICES PROVIDED WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. TO THE FULLEST EXTENT PERMITTED BY LAW HOSA, ITS PARTNERS, OFFICERS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM THE GOODS AND YOUR USE THEREOF. HOSA MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE GOODS PROVIDED OR THE PLATFORM'S CONTENT OR THE DATA SHARED BY OR THE CONTENT OF ANY THIRD PARTY LINKED TO THE PLATFORM AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY, HEALTH RELATED SIDE EFFECTS OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE PLATFORM AND THE GOODS, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY GOODS DISPLAYED, DELIVERED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM OR THE GOODS. HOSA ALSO DISCLAIMS ALL LIABILITY WITH RESPECT TO THE MISUSE, LOSS, MODIFICATION OR UNAVAILABILITY OF ANY USER CONTENT/ DATA. HOSA SHALL NOT BE LIABLE FOR ANY THIRDPARTY GOODS OR SERVICES. HOSA DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY INFORMATION ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE PLATFORM OR ANY HYPERLINKED PLATFORM OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND HOSA SHALL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND/OR OTHER USERS AND/OR THIRD-PARTY MERCHANTS OR ADVERTISERS. WE RESERVE THE RIGHT TO MODIFY THE SERVICES OR CONTENTS OF THE PLATFORM, BUT HAVE NO OBLIGATION TO UPDATE ANY INFORMATION ON THE PLATFORM.

21 Limitation of Liability
IN NO EVENT SHALL HOSA, ITS PARTNERS, OFFICERS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, REGARDLESS OF LEGAL THEORY, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE (EVEN IF HOSA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ANY ASPECT OF YOUR USE OF THE PLATFORM OR THE INFORMATION PROVIDED THROUGH IT, INCLUDING WITHOUT LIMITATION WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE PLATFORM OR THE GOODS, FROM INABILITY TO USE THE PLATFORM OR THE GOODS, OR THE INTERRUPTION, SUSPENSION, MODIFICATION, ALTERATION, OR TERMINATION OF THE PLATFORM OR THE GOODS PROVIDED THROUGH IT. SUCH LIMITATION OF LIABILITY SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES RENDERED THROUGH OR ADVERTISED IN CONNECTION WITH THE PLATFORM OR THE SERVICES OR ANY LINKS ON THE PLATFORM, AS WELL AS BY REASON OF ANY GOODS, DESCRIPTION OF GOODS RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE PLATFORM OR THE INFORMATION OR ANY LINKS ON THE PLATFORM OR UNAUTHORIZED ACCESS TO OR ALTERATION OR TRANSMISSIONS OF YOUR DATA OR FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE PLATFORM OR THE ACCOUNT, OR THE INFORMATION CONTAINED THEREIN. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT HOSA SHALL NOT BE LIABLE FOR PARTNER AND CUSTOMER DETAILS AND CONTENTS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY PARTNER OR CUSTOMER OR THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. THE PLATFORM IS CONTROLLED AND OFFERED BY HOSA FROM ITS FACILITIES IN INDIA AND UAE. THE FORGOING LIMITATIONS OF LIABILITY WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED WARRANTY OR REMEDY HEREIN. IN NO EVENT SHALL THE MAXIMUM AGGREGATE LIABILITY OF HOSA EXCEED THOUSAND INDIAN RUPEES FOR ANY CLAIM.

22 Indemnification
You agree to indemnify us and hold Hosa harmless from and against any claims including but not limited to its affiliate partners, vendors, agents and employees from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees, accountant and expert witness fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by us that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these terms of use. further, you agree to hold Hosa harmless against any claims made by any third party due to, or arising out of or relating to:
(i) any breach of these Terms;
(ii) any breach of applicable laws;
(iii) transactions (present and subsequent) inter se, between you and Partner, you and Customer or between you and any third- party;
(iv) your use of and access to the Platform;
(v) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights;
(vi) User content or any other information or content that is submitted through your User Account including without limitation misleading, false, incomplete or inaccurate information.

23 Privacy Policy
Hosa is committed to responsibly handling the information and data we collect through the Platform in compliance with our Privacy Policy. Please review the Privacy Policy so that you are aware of how we collect and use your personal information. Our Privacy Policy is located at https://www. hosalifeandstyle.com/privacy-policy. Hosa hereby informs the Users that, although Hosa deploys and implements various security protocols to secure the information provided by the Users, there could be rare instances wherein security of such information may be breached on account of failure of security protocols.

24 Communications
24.1 We may communicate with you via email or SMS on the contact information provided by you, for giving you certain information or updates regarding the Platform. We also may post a notice for you in the Platform. When we post notices on the Platform, we post them in the area of the Platform suitable to the notice. It is your responsibility to periodically review the Platform for such notices.
24.2 You agree that, unless other instructions are posted on the Platform, any notices required to be given under these Terms will be deemed to have been given if delivered by email, or sent by registered mail or by courier, in accordance with the most current contact information you have provided to us, and the contact information for you to reach us is posted on the Platform. All notices shall be effective upon receipt, except that email notices shall be effective upon transmission. You give your express consent for us to send you such notices, updates, alerts and other promotional materials.

25 Termination
Notwithstanding any provision of these Terms, we reserve the right, without any notice or liability to you, to (a) terminate your right to use the Platform or access the Services, or any portion thereof; (b) block or prevent your future access to and use of all or any portion of the Platform or Services; (c) change, suspend or discontinue any aspect of the Services; and (d) impose limits on the Services. Additionally, your right to access and use the Platform terminates automatically upon your material breach of these Terms. 

We may suspend your access to the Services or require you to change your password if we reasonably believe that the Services have been or are likely to be misused, and we will notify you accordingly. We constantly monitor your account in order to avoid fraudulent accounts. We reserve the right to initiate legal proceedings against such persons for fraudulent use of the Platform and any other unlawful acts or omissions in breach of these Terms. In the event of detection of any fraudulent action, prior to initiation of legal actions, we reserve the right to immediately delete such account.  If at any time, we notify to you that your access to and/or use of the Platform or your account is suspended and/or terminated, you must cease and desist from all such access and/or use immediately.

You may terminate your agreement to these Terms at any time by discontinuing your use of the Platform. We may terminate the account, and/or remove and discard any of the information posted by you without notice if we believe that you have violated or acted inconsistently with these Terms. We may also retain an archival copy of any part of your Data after termination for our internal business purposes. 

Survival: The disclaimer of warranties, the limitation of liability, indemnity and the jurisdiction and applicable laws provisions will survive any termination of these Terms.

26 MISCELLANEOUS TERMS:
Choice of Law and Jurisdiction:
These Terms are governed by and construed according to the laws of India. The acceptance of the Terms shall be deemed to have been given at Pune, India and the courts in Pune, India shall have exclusive jurisdiction to entertain any proceedings in any way relating to or concerning these Terms or any rights, duties, obligations or liabilities of the parties arising under these Terms, to the exclusion of all other courts in India. Hosa shall not be made a party or required to mediate any dispute between the Partners, third parties and/ or the Customers.

No waiver:
Hosa’s failure to insist on or enforce strict performance of any of these Terms shall not be construed as a waiver of any provision or right.

Severability:
If any part of these Terms is held to be invalid or unenforceable by any law or regulation or final determination of a competent court or tribunal, that provision shall be deemed severable and will not affect the validity and enforceability of the remaining provisions.

No agency relationship:
You agree that no joint venture, employment, or agency relationship exists between you and Hosa as a result of these Terms or due to your use of the Platform.

Entire Agreement:
These Terms and the Privacy Policy constitute the entire agreement between you and Hosa relating to this subject matter and supersede any and all prior communications and/or agreements between you and Hosa relating to this subject matter.

Force Majeure:
In the event that either Party is prevented from performing or is unable to perform any of its obligations under these Terms due to force majeure, which is defined to be occurrences beyond the reasonable control of such party committing default, including without limitation and limited to acts of the government authorities, acts of God, fire, flood, explosion, riots, war, labour strikes, sabotage, rebellion, insurrection, mutiny, civil commotion, riot, acts of public enemies or civil disturbance, strike, lockout, or other industrial disturbance, epidemic, pandemics or similar outbreak, affecting a person, any non-discriminatory acts of government, or compliance with such acts, which directly affects that person’s ability to perform its obligations (“Force Majeure”) such non-performance shall not constitute default hereunder. Provided, however, the User shall give prompt written notice within a period of 7 (seven) days from the date of the force majeure occurrence to Hosa. The User shall use all reasonable efforts to avoid or remove such cause of non-performance and shall continue performance hereunder whenever such causes of force majeure are removed. In the event the Force Majeure event continues for a period of 7 (seven) days from the date on which Hosa receives the notice from the User as above, Hosa shall have the right to terminate these Terms of Use. This provision shall not be construed as relieving either party from its obligation to pay any sum due the other Party.

27 Electronic Record
This document is an electronic record in terms of the Information Technology Act, 2000 and the rules framed there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing the rules and regulations, Terms of Use for access or usage of the Platform.

29 Change in Terms
We may update these Terms without notice to you. It is the User’s responsibility to check these Terms on a regular basis to be aware of the changes made to it. Your continued use of the Platform after such change shall be deemed to be your acceptance of the revised Terms. The Terms were last modified on 30th July 2025.
